Terms of Business

  1. Introduction

1.1 These Terms of Business (the “Terms”) set out the terms and conditions under which Quick Key Ltd (“we”, “us”, “our”) will provide property sourcing services to the client (“you”, “your”).

1.2 By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not engage our services.

  1. Our Services

2.1 Quick Key Ltd provides property sourcing services, including but not limited to identifying, evaluating, and negotiating the purchase of properties on your behalf (the “Services”).

2.2 We will act on your behalf in accordance with your instructions, as detailed in the Client Engagement Letter and any accompanying documentation.

2.3 Our Services are provided based on the criteria set out in the Property Search Brief, which will be agreed upon between you and us before the commencement of our Services.

  1. Fees and Payment

3.1 Our fees for the Services will be detailed in the Client Engagement Letter and may include:

  • A non-refundable retainer fee.
  • A success fee upon the successful purchase of a property.
  • Any additional fees for extra services as agreed in writing.

3.2 All fees are exclusive of VAT, which will be added at the prevailing rate.

3.3 Payment of fees is due upon receipt of an invoice from us. Late payments may incur interest at a rate of 4% above the Bank of England base rate, calculated daily.

  1. Client Obligations

4.1 You agree to provide us with accurate and complete information regarding your property requirements, financial situation, and any other information necessary for us to perform the Services.

4.2 You will notify us promptly of any changes to your requirements or circumstances that may affect the Services.

4.3 You are responsible for obtaining any necessary financial, legal, or other professional advice required for the purchase of a property.

  1. Anti-Money Laundering Compliance

5.1 Quick Key Ltd is required by law to comply with Anti-Money Laundering regulations. You agree to provide us with the necessary documentation, including proof of identity and proof of address.

5.2 We reserve the right to suspend or terminate our Services if you fail to provide the required documentation or if we have reason to believe that there is a risk of money laundering or other illegal activities.

  1. Confidentiality

6.1 We will treat all information provided by you as confidential and will not disclose it to any third party without your consent, except as required by law.

6.2 You agree not to disclose any confidential information about our business or Services to any third party without our written consent.

  1. Data Protection

7.1 We will process your personal data in accordance with our Privacy Policy, which is provided to you separately.

7.2 You agree to the collection, use, and storage of your personal data by us in accordance with the General Data Protection Regulation (GDPR).

  1. Limitation of Liability

8.1 Our liability to you for any losses arising from our Services is limited to the amount of fees paid by you to us under these Terms.

8.2 We will not be liable for any indirect, special, or consequential losses, or any loss of profit, revenue, or business arising out of or in connection with our Services.

8.3 Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

  1. Termination

9.1 Either party may terminate this agreement by giving 14 days’ written notice to the other party.

9.2 We may terminate this agreement immediately if you breach any of these Terms, fail to pay our fees, or if we have reason to believe that you are involved in illegal activities.

9.3 Upon termination, you will be liable to pay any outstanding fees for Services provided up to the date of termination.

  1. Governing Law

10.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

10.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. Entire Agreement

11.1 These Terms, together with the Client Engagement Letter and any other documents referred to herein, constitute the entire agreement between you and us and supersede any previous agreements or understandings.

11.2 No variation of these Terms shall be effective unless agreed in writing by both parties.
